An appellate court ruled Tuesday that Samsung Group must pay 600 billion won ($530 mllion) to 14 creditors of its failed auto unit Samsung Motors in penalties for delayed debt repayment and accumulated interest.
Holding the conglomerate partially responsible for the delay in repayment, the Seoul High Court said Samsung “failed to fulfill its duty of retrieving losses of creditors since shares of Samsung Life Insurance given to the creditors in compensation were listed 10 years later than promised.”
Responding to the ruling, Samsung said it will consider an appeal.
The legal fight started after Samsung Motors, which was added to Samsung Group’s business lineup in 1995, collapsed after it was hit by the fallout of the Asian financial crisis in 1999. It was later taken over by French automaker Renault SA.
The creditors of the now-defunct auto company sustained huge losses due to delays in debt repayment after the company was put under court receivership in 1999.
As collateral for the debt, Lee Kun-hee, chairman of Samsung Group, donated 3.5 million shares of the then unlisted Samsung Life Insurance to the creditors, with the market value of the shares estimated at 700,000 won apiece.
Samsung Group promised the rest of the debt would be settled from capitalization of the initial public offering of the insurance firm in 2000.
But the listing of Samsung Life was delayed for years for political and other reasons.
The delay provoked the creditors and in 2005 they filed a suit against 28 units of Samsung Group and its Chairman Lee Kun-hee, demanding the conglomerate repay 4.7 trillion won in outstanding debt ― 2.4 trillion won in principal and 2.3 trillion in interest ― they claimed was owed by Samsung Motors.
Among main creditors are Seoul Guarantee Insurance, and Woori, the Korea Development and Korea Exchange banks.
The listing took place in May last year. Samsung has defended itself on the ground that the delay was “beyond its control.”
In the first ruling in 2008, the Seoul Central District Court held Samsung liable for selling then non-listed shares to waive the debt, demanding Samsung pay 2.3 trillion won to the creditors in compensation.
Creditors recouped 1.6 trillion won in principal in May last year when the life insurance company sold its shares at 110,000 won per share. With Samsung having paid the creditors the principal, the high court’s ruling only determined the amount of penalty for the breach of contract and its interest.
“The penalty amount was set considering that the affiliate companies were not liable to pay Samsung motors’ debt and nobody expected it would take 10 years for the life insurance firm to be listed at the time of signing the debt agreement,” it said.

‘단군 이래 최대 민사소송’으로 주목 받았던 삼성자동차 부채 소송에서 채권단이 또다시 이겼다.
서울고등법원 민사16부(이종석 부장판사)는 11일 서울보증보험 등 14개 기관으로 구성된 삼성차 채권단이 이건희 회장과 삼성그룹 계열사 28곳을 상대로 낸 소송에서 원고일부 승소로 판결했다.
재판부는 “계열사는 합의서에 약속한 기일이 지나고 삼성생명 주식을 처분한 만큼 채권단에 위약금과 지연이자를 물어야 한다”고 판단했다. 이번 선고가 확정될 경우 삼성 측이 물어야 할 위약금은 6,000억원으로 제한됐다. 또한 삼성생명이 상장된 다음날인 작년 5월 8일부터 선고일까지 연 5%로, 이후부터는 연 20%로 지연이자를 내야 한다고 판단했다.
재판부는 “계열사들은 법적으로 채무가 없는 상태에서 재무구조개선약정이라는 제재를 피하기 위해 채권단과 합의했다”며 “합의 당시 쌍방 모두 삼성생명 주식이 2010년에서야 상장될 거라고 예상하지 못했다” 며 감액 이유를 설명했다.
또한 삼성생명 주식의 처분이 어려웠던 상황도 고려됐다. 재판부는 “삼성 계열사가 상장 기한으로 잡았던 2000년 12월 31일 이후부터는 채권단도 삼성생명 주식을 처분할 수 있는데도 삼성 측에만 주식 처분 의무를 넘겼고, 정부 정책의 변화로 생명보험 회사의 상장이 어렵게 된 점 등을 고려해야 한다”고 덧붙였다.
지난 1999년 채권단은 삼성차의 법정관리로 발생한 손실대신 이건희 삼성 회장 소유의 삼성생명 주식 350만주(주당 70만원)를 받았다. 이때 삼성은 ‘2000년 말까지 상장을 통해 빚을 갚겠다’고 약속했다. 그러나 상장은 이뤄지지 않았고 채권단이 보유했던 삼성생명 주식도 쉽게 팔리지 않았다.
상장을 기다리던 채권단은 결국 2005년 12월, 이 회장과 삼성계열사를 상대로 “부채 2조 4,500억원과 연체이자 2조 2,880억원을 갚으라”며 소송을 시작했다.
1심은 "삼성은 부채 중 일부인 1조 6,338억원과 위약금으로 2001년 1월부터 연 6%(2010년 5월 기준 약 8,000억원) 지급하라"고 판결했다. 양측은 이에 불복해 모두 항소했다.
지난해 5월 삼성생명은 유가증권시장에 상장됐고 1/10 액면 분할 후 기준으로 11만원의 공모가를 기록했다. 당시 2심 재판 중이던 채권단은 상장을 통해 부채원금인 2조 4,500억원을 모두 보전했다. 하지만 채권단이 보유한 350만 주가 예상보다 높이 팔리면서 차익 8,776억원이 남게됐다. 채권단은 이 돈을 두고 “10년간 못 받은 삼성차 채권의 위약금과 연체이자로 지급하라” 며 주장을 변경해 소송을 지속했다.
