Exclusive SK Telecom chases Blockbuster deal

Acquiring DVD rental giant could help carrier in smartphone content battle

SK Telecom is in negotiations to acquire a major stake in Blockbuster, a U.S.-based DVD and games rental company that filed for bankruptcy last year.

In acquiring the troubled Blockbuster, SK Telecom hopes to find a breakthrough in its efforts to strengthen its position in international markets.

SK Telecom's first attempt to establish itself in the American market fell flat. In 2008, the company was forced to bail from "Helio," a mobile virtual operator (MVNO) that bought wholesale minutes from existing U.S. carriers to provide its own brand of phone services, due to high market costs and underwhelming profit.

"It's true that SK Telecom has recently submitted a letter of intent (LOI) for stakes to Blockbuster's debt-holders," said a high-level financial industry executive involved in the deal.

"SK Telecom sees a good chance to broaden our overseas business portfolios and Blockbuster is one of SK's M&A targets," he said.

Although SK Telecom, Korea’s largest mobile-phone carrier, controls more than half of the country’s wireless subscribers, it has been struggling to matter internationally.

Blockbuster, once the world's largest video rental chain, has been locked in disputes after filing for bankruptcy last September. A U.S. federal judge recently approved the sale of the company so it could avoid liquidation.

According to banking industry sources, SK Telecom’s list of business partners remains a mystery.

It's also uncertain what kind of effect SK Telecom would be looking for in connecting with Blockbuster.

A possible synergy could be found in content-related businesses, as they are becoming an important part of the competition for mobile business due to the popularity of smartphones and other advanced mobile devices.

"It's obvious that SK Telecom is finally turning aggressive in attempting to grow externally, and this means that the company could be a force to be reckoned with in the merger and acquisition (M&A) market," said another banking source, who is also working closely on the deal.

SK Telecom is maintaining healthy partnerships with top-tier U.S. mobile carriers. It has also been trying to shift the focus of its business from voice to mobile platforms, MVNO and applications.

"It's premature to say to SK Telecom is near to getting a second chance to revitalize its overseas business, not in China but from the United States," said a telecommunications industry source.

In Korea, SK Telecom has been competing with rival KT, which was the first Korean carrier to release the Apple iPhone.

SK Telecom recently began selling Apple’s iPhone 4 and is in negotiations to release the newer version of the iPad touch-screen tablet and the next iPhone, according to company officials.

[단독] SK텔레콤, `블록버스터 인수 의향서 제출’

국내 최대 통신사인 SK텔레콤이 최근 파산보호를 신청한 미국의 비디오 DVD 대여업체 체인 블록버스터(blockbuster) 인수를 위해 `인수의향서(letter of intent)’를 제출한 것으로 확인됐다.

콘텐츠 사업에 역점을 두고 있는 만큼, 스마트폰 시대를 맞아 블록버스터 인수가 정체된 해외 사업에 새로운 돌파구를 마련해 줄 수 있다는 전략적 의지의 표현인 셈.

29일 익명을 요구한 한 소식통은 ``SK텔레콤이 최근 블록버스터 채권단에 공식 인수의향서를 제출했다’’고 말했다.

이 소식통은 그러나 ``SK텔레콤이 컨소시엄을 구성해서 인수전에 본격적으로 뛰어들 지, 단독으로 진행할지에 대해서는 아직 결정되지 않은 것으로 안다’’고 부연했다.

SK텔레콤측은 다소 조심스러워하는 모습이다. 블록버스터 인수가 자사의 콘텐츠 사업 성장에 새로운 모멘텀이 될 수 있지만 아직 인수를 위한 구체적인 논의가 본격화되지 않은 만큼, 좀 더 상황을 지켜봐야 한다는 것.

SK텔레콤 홍보실 관계자는 ``인수의향서를 제출한 것이 맞다’’면서도 ``사업 구조 다변화와 해외 사업 확장을 위해 다양한 방안을 검토중이며 블록버스터 인수는 이 같은 방안의 일환일 뿐’’이라고 애써 의미를 축소했다.

SK텔레콤이 블록버스터를 성공적으로 인수하게 되면 지난 2008년 미국에서 힐리오 사업을 철수한 지 3년여만에 미국 통신사업에 다시 진출하는 셈이다.

익명을 요구한 또 다른 업계 고위관계자는 ``SK텔레콤이 답보상태인 국내 통신사업에서 새로운 활로를 찾기 위해 해외 M&A에 공격적인 행보를 보이고 있다’’며 ``미국 주요 이통사들과 협력관계를 유지하고 있어 인수가 성사될 경우 상당한 시너지를 낼 수 있을 것’’이라고 내다봤다.

블록버스터는 2억9000만달러에 채권단 그룹에게 매각될 예정인 것으로 알려졌다.

채권단으로 구성된 코발트 비디오 홀딩컴퍼니는 2억9000만달러에 블록버스터의 자산과 미국 및 해외 자회사들을 매입한다.

코발트는 모나크 얼터너티브 캐피탈, 아울 크리크 자산운용, 스톤일 캐피탈 운용 등이 만든 펀드로 설립된 회사다.

블록버스터는 이번 거래를 위해 뉴욕남부법원에 입찰 승인을 요청한 상태다. 법원이 입찰 신청안을 받아들일 경우 30일간 추가적인 입찰 제안서를 받은 후 오는 4월 20일 최종 입찰이 진행된다.

블록버스터는 지난해 9월 경영악화로 파산보호(챕터11)를 신청했다.

전세계에 5800여개의 매장을 보유하고 있는 블록버스터는 최근 온라인 스트리밍 업체인 넷플릭스, 코인스타, 레드박스 등의 선전에 경영난이 심화됐다.

블록버스터의 부채는 14억6천만달러로 시가총액은 10억2천만달러다.

한 때 이사로 경영에도 참여했던 억만장자 칼 아이칸은 블록버스터의 부채 중 약 30%를 보유하고 있는 것으로 전해졌다.
